What belongs in retirement plan committee minutes?

Minutes should record attendees, materials reviewed, topics discussed, decisions reached, and the reasoning — enough that a stranger could reconstruct the prudent process years later. They should be factual and concise, approved at the next meeting, and retained with plan records.

Minutes are the committee's evidence. The formula:

  • Logistics: date, attendees (including advisers), quorum
  • Inputs: reports and materials reviewed — investment reviews, fee benchmarks, vendor scorecards (attach or reference them)
  • Deliberation: the issues considered and key factors weighed
  • Decisions: what was decided or deliberately deferred, with the rationale
  • Follow-ups: action items and owners

Style matters: factual and measured, not verbatim debate. Minutes are discoverable, so record the quality of the process rather than colorful commentary. Approve them at the following meeting, store them with plan records, and keep them permanently — fee cases routinely reach back six years or more.
